TERMS OF USE

Last Updated: October 6, 2026

These Terms of Use (“Terms”) govern your access to and use of the website located at https://bmodbridge.com/terms-and-conditions and any related pages, content, and features that BModBridge Solutions LLC, a Massachusetts limited liability company (“BModBridge,” “we,” “us,” or “our”), makes publicly available (collectively, the “Site”). Our Privacy Policy, available at https://bmodbridge.com/privacy-policy, is incorporated into these Terms by reference.

The Services. If you register for or access the BModBridge behavior intake, tracking, and reporting platform (the “Services”), whether as a Customer, Business Manager, Trainer, Pet Owner, or Veterinarian, your use of the Services is governed by our Professional Services Agreement, which you must accept before you may access the Services and which incorporates these Terms by reference. These Terms also apply to your use of the Services, subject to Section 11. Capitalized terms used but not defined in these Terms, such as Customer, Business Manager, Trainer, Pet Owner, and Veterinarian, have the meanings given in the Professional Services Agreement.

PLEASE READ THESE TERMS CAREFULLY. SECTION 9 REQUIRES YOU AND BMODBRIDGE TO RESOLVE MOST DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION RATHER THAN IN COURT AND WAIVES THE RIGHT TO PARTICIPATE IN A CLASS ACTION.

1. USE OF THE SITE

You must be at least 18 years old to use the Site. Subject to these Terms, you may access and use the Site for your personal, informational, or internal business purposes. In using the Site or the Services, you agree not to: (a) use either in violation of any law or the rights of others; (b) copy, scrape, crawl, or harvest content or data from the Site or the Services by automated means, or reverse engineer any part of the Site or the Services; (c) use the Site, the Services, or their content to develop, train, or improve any artificial intelligence or machine-learning model, or any competing product or service; (d) interfere with, disrupt, or attempt to gain unauthorized access to the Site, the Services, or their related systems, or introduce malware; (e) submit false, misleading, infringing, or unlawful information; (f) impersonate any person or misrepresent your affiliation; or (g) access or use the Site or the Services to monitor their availability, performance, or functionality, or for any benchmarking, competitive analysis, or other competitive research purpose, or, if you are, or are acting on behalf of, a competitor of BModBridge, access or use the Services for any purpose without our prior written consent. We may suspend or block your access to the Site at any time, including if we believe you have violated these Terms.

2. INTELLECTUAL PROPERTY

The Site and its content, including text, graphics, software, designs, logos, and trademarks, are owned by BModBridge or its licensors and are protected by intellectual-property laws. Except for the limited right to use the Site described above, nothing in these Terms grants you any right in the Site or its content, and you may not use our name or marks without our prior written permission.

If you send us feedback, suggestions, or ideas (“Feedback”), you grant BModBridge a perpetual, irrevocable, worldwide, royalty-free, fully paid, sublicensable, and transferable license to use, disclose, reproduce, modify, and otherwise exploit that Feedback for any purpose, without obligation or compensation to you.

If you believe that content on the Site or the Services infringes your copyright, you may send a notice to our designated agent at BModBridge Solutions LLC, 202 K Street, South Boston, MA 02127, contact@bmodbridge.com, that includes: (a) your physical or electronic signature; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the allegedly infringing material and information reasonably sufficient to allow us to locate it; (d) your contact information; (e) a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (f) a statement, under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on behalf of the copyright owner. If we remove content in response to a notice, the person who submitted it may send our designated agent a counter-notice containing the information required by 17 U.S.C. § 512(g)(3), and we may restore the content as permitted by law. We may remove content and, in appropriate circumstances, terminate the accounts of repeat infringers.

3. INFORMATION YOU SUBMIT

If you submit information through the Site (for example, through a contact, demo-request, or sign-up form), you represent that the information is accurate and that you have the right to submit it. Do not submit confidential information, or information about another person, unless you have the right to do so. You grant BModBridge a non-exclusive, worldwide, royalty-free license to use, reproduce, and store the information you submit to respond to you, to operate and improve the Site, and as otherwise described in our Privacy Policy. If you submit a testimonial, review, photograph, or other content for publication, you also grant BModBridge the right to publish it on the Site and in BModBridge’s marketing materials, with the attribution you approve. Our collection and use of personal information is described in our Privacy Policy.

4. THIRD-PARTY LINKS

The Site may contain links to third-party websites or services that we do not control. We are not responsible for their content, policies, or practices, and your use of them is at your own risk and subject to their terms.

5. NO PROFESSIONAL ADVICE

Content on the Site is provided for general informational purposes only and is not veterinary, medical, behavioral, training, legal, or other professional advice. Always consult a qualified professional or licensed veterinarian about an animal’s health, behavior, or welfare. References on the Site to trainers, behavior consultants, veterinarians, or other third-party professionals are provided for convenience only; BModBridge does not employ, supervise, vet, or endorse them and is not responsible for their services. In an emergency involving an animal, contact a licensed veterinarian directly. If a person has been injured, including by an animal bite, contact emergency services or seek medical care immediately.

6. DISCLAIMER OF WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ITS CONTENT IS ACCURATE, COMPLETE, OR CURRENT. NOTHING IN THESE TERMS EXCLUDES OR LIMITS ANY WARRANTY OR RIGHT THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

7. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEITHER BMODBRIDGE NOR ITS AFFILIATES, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS (COLLECTIVELY, THE “BMODBRIDGE PARTIES”) WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS OR DATA, ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS, AND THE TOTAL LIABILITY OF THE BMODBRIDGE PARTIES ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED DOLLARS ($100). THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY, BUT THEY DO NOT LIMIT ANY LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

8. INDEMNIFICATION

To the extent permitted by applicable law, you will defend, indemnify, and hold harmless the BModBridge Parties from and against any third-party claims, and related losses, damages, and reasonable attorneys’ fees, to the extent arising from: (a) your breach of these Terms; (b) your violation of applicable law or the rights of a third party; or (c) information or content you submit through the Site that infringes, misappropriates, or violates another person’s rights. We will notify you promptly of any claim for which we seek indemnification. You may not settle any such claim in a manner that imposes any obligation or admission on a BModBridge Party without our prior written consent, and we may participate in the defense with counsel of our choosing at our own expense.

9. GOVERNING LAW; ARBITRATION; CLASS-ACTION WAIVER

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws principles. Except for claims that applicable law prohibits from being subject to a pre-dispute arbitration agreement, any dispute, claim, or controversy arising out of or relating to these Terms or the Site will be resolved by final and binding arbitration on an individual basis. Arbitration will be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules for a dispute with a Customer and its Consumer Arbitration Rules for a dispute with any other person, in each case as modified by this Section. The arbitration will be heard by one neutral arbitrator and conducted remotely unless the parties agree otherwise; any in-person hearing will occur in Suffolk County, Massachusetts. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.

YOU AND BMODBRIDGE WAIVE ANY RIGHT TO BRING, PARTICIPATE IN, OR RECOVER RELIEF IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING. The arbitrator may award only individualized relief and may not consolidate claims or preside over any class, collective, consolidated, or representative proceeding. If you are not a Customer, you will not be required to pay arbitration fees or costs that exceed the amount you would be required to pay to commence a comparable court action, and BModBridge will pay any remaining arbitration fees and costs required by the AAA’s Consumer Arbitration Rules. Each party will bear its own attorneys’ fees unless applicable law or the arbitrator awards fees to the prevailing party. Either party may seek temporary, preliminary, or permanent equitable relief in a court of competent jurisdiction to protect its intellectual property, confidential information, or the security or integrity of the Site or the Services, without waiving arbitration of the merits.

Any dispute arising out of or relating to the Services or the Professional Services Agreement is governed by Section 19 of the Professional Services Agreement.

10. CHANGES TO THESE TERMS

We may modify the Site at any time. We may update these Terms by posting the revised Terms on the Site with a new “Last Updated” date and, for material changes, by providing reasonable advance notice through the Site or by email to users who have provided us with an email address. Revised Terms take effect when posted, unless a later date is stated, and apply only prospectively. Your continued use of the Site after the revised Terms take effect constitutes your acceptance of them; if you do not agree to them, stop using the Site. For users of the Services, material changes to these Terms will be handled as provided in Section 18 of the Professional Services Agreement. Any change to Section 9 will not apply to a dispute of which either party had notice before the change took effect, and that dispute will remain governed by the version of Section 9 in effect when the notice was given.

11. GENERAL

These Terms and the Privacy Policy are the entire agreement between you and BModBridge regarding the Site and supersede any prior understandings regarding that subject matter. These Terms do not supersede, modify, or replace any separate written agreement between you and BModBridge that you have signed or accepted electronically (including the Professional Services Agreement), which will control in the event of a conflict as to its subject matter. If any provision of these Terms is found unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them without restriction. Sections 2, 3, and 5 through 11 survive the termination of these Terms and your use of the Site. There are no third-party beneficiaries of these Terms, except that the BModBridge Parties are intended beneficiaries of Sections 7 and 8. We may give notices to you by email to the address you provided or by posting them on the Site. You consent to receive communications from us electronically, and you agree that electronic communications satisfy any legal requirement that a communication be in writing. Section headings are for convenience only, and “including” means “including without limitation.”
